The world in 2024 is grappling with many uncertainties. From the disruptions caused by climate change and global wars to the promise and perils of technology and artificial intelligence, the need for inclusive, steady, and visionary leadership in America’s corporate boardrooms is urgent. To ensure that leaders can govern for growth and corporate responsibility while remaining agile, responsive, and resilient, it is more important than ever that the boardrooms of today and the future reflect the diverse viewpoints and experiences of the stakeholders and investors they are serving.
ublic company boards have made quite a few upgrades over the past decade. They have become far more diverse, more focused on risk management, and more attentive to the environmental impacts of the companies they oversee. But in other ways, public company boards still look eerily similar to what they looked like 50 years ago, when modern governance rules were first enacted after the high-profile collapse of Penn Central. Directors basically still show up to board meetings once a quarter to approve the strategy, discuss risks, and once every five years or so, select the next chief executive officer. This seems strange, particularly since the world around them has changed so much. This approach to board oversight is dramatically different than the ways boards work in the private equity (PE) world. When PE firms build boards for their portfolio companies, they create a governance structure that’s far more entrepreneurial. PE owners recognize the value of a more collaborative model in which directors — often former CEOs themselves — can work more closely with management to drive transformation and results more efficiently. Also, because PE companies are not publicly traded, they are able to spend less time on the formal, bureaucratic, and procedure-laden practices that the SEC requires of public companies.

A tight focus on the customer is required if a firm is to make money from the technology.

Mammas turned out to be more hands-on than Gill assumed, possessing the details of all of Foodtastic’s many brands. “I’m not sure how that’s done,” Gill says. “I felt like I was getting close to my personal limit with one.”
